Terms of Service

These Terms form a binding agreement between BoonLynq and the organisation that uses Lynq. They cover subscriptions, your duties as a recruiter under Indian emigration law and the labour laws of the six GCC states, liability, and how disputes are resolved.

01Acceptance and eligibility

These Terms of Service (“Terms”) govern access to and use of the Lynq platform, website, APIs and related services (together, the “Service”) provided by BoonLynq (“BoonLynq”, “we”, “us”). You accept these Terms by registering an organisation, signing in, or clicking to accept. If you accept on behalf of an organisation, you confirm that you have authority to bind it.

The Service is for businesses only. You must be at least 18 years old and able to form a binding contract under the Indian Contract Act, 1872 and the law of your own country. If you have signed an order form or master agreement with us, it takes precedence over these Terms where the two conflict.

02Definitions

  • “Customer”, “you”: the organisation that registers for and subscribes to the Service, such as a recruiting agent, a foreign agency or an employer.
  • “Authorised Users”: people the Customer allows to use the Service, including organisation admins, staff, clients, client staff and partner agencies.
  • “Candidate”: a person whose data the Customer processes through the Service for recruitment or deployment.
  • “Customer Data”: all data, documents and content that the Customer or its Authorised Users submit to the Service.
  • “Origin Country”: the country from which a Candidate is recruited, typically India. “Destination Country”: the country where the Candidate will be employed, including the United Arab Emirates, Saudi Arabia, Qatar, Kuwait, Bahrain and Oman.
  • “Recruitment Laws”: all laws of the Origin and Destination Countries that govern recruitment, emigration, immigration, employment, wages, anti-trafficking and data protection, including those listed in section 6.
  • “Subscription Plan”: the plan, usage limits and billing cycle the Customer selects.

03Accounts and users

Organisation registrations are reviewed before activation. We may approve, reject or ask for further verification of any registration, at our reasonable discretion. This can include company registration documents and recruitment licences, such as an Indian Recruiting Agent Registration Certificate or a GCC recruitment agency licence.

  • The organisation admin creates and manages Authorised Users and decides what each can see and do.
  • You are responsible for everything done under your account. Keep credentials confidential, and tell us promptly at support@boonindia.ai if you suspect unauthorised access.
  • Keep your registration, licence and billing information accurate and up to date. Tell us within 7 days if any recruitment licence is suspended, cancelled or expires.
  • Accounts are personal to each Authorised User and must not be shared.

04Subscriptions, fees and taxes

  • Billing. Fees are set out in your Subscription Plan. They are quoted in Indian Rupees (INR) and billed in advance, monthly or yearly.
  • Payment. Payments are processed by our payment partners, Razorpay and Stripe. By paying, you also accept their terms.
  • Indirect taxes. Fees exclude Goods and Services Tax (GST) and any value added tax or similar tax in your jurisdiction (for example, VAT in the UAE, Saudi Arabia, Bahrain or Oman). You pay these in addition, and must account for them under reverse charge where the law requires.
  • Withholding tax. Indian Customers that must deduct tax at source (TDS) will provide the TDS certificates promptly. Customers outside India will pay fees without deduction. Where a withholding tax is legally required, they will increase the payment so that we receive the full invoiced amount, unless a tax treaty reduces the rate and you give us the supporting documents in advance.
  • Renewal and grace period. If a payment fails or a subscription lapses, you get a grace period (currently 30 days) to renew. After it ends, we may restrict or suspend access until payment is made.
  • Plan limits. Each plan has limits, such as the number of staff seats. Upgrades take effect immediately. Downgrades take effect from the next billing cycle, and features or seats beyond the new plan’s limits may be restricted.
  • Price changes. We will give at least 30 days’ notice of any price change. It applies from your next renewal.
  • Refunds. Fees are non-refundable, including for partial periods, except where the law requires otherwise or we expressly agree in writing.

05Fair and lawful recruitment

You are solely responsible for how you run recruitment and deployment through the Service, and for complying with all Recruitment Laws. You will also follow the internationally recognised standards of fair recruitment, including the ILO General Principles and Operational Guidelines for Fair Recruitment and the Employer Pays Principle.

Licensing

  • In India, recruit for overseas employment only if you hold a valid Registration Certificate from the Protector General of Emigrants under the Emigration Act, 1983. The only exception is an employer recruiting directly under a permit the Act allows.
  • In each Destination Country, hold, or work only with partners who hold, the recruitment agency licence and employer registrations required by the relevant ministry or authority (see section 6).

Candidate protections

  • No unlawful fees. Do not charge, or let anyone charge, a Candidate any fee or cost except as the law expressly permits, such as the service charge allowed under the Emigration Rules, 1983. Several GCC states prohibit charging workers recruitment costs, and that prohibition must be respected.
  • No contract substitution. The job, wage, benefits and working conditions offered to a Candidate must match the employment contract registered with or approved by the Destination Country authority. Do not substitute a less favourable contract after the Candidate accepts.
  • Clear, understood terms. Give each Candidate a copy of the offer and contract before departure, in a language they understand. Meet the Arabic-language requirements that GCC labour laws generally impose on employment contracts.
  • No document withholding. Do not use the Service to facilitate the confiscation or retention of a Candidate’s passport or identity documents. This is prohibited throughout the GCC and in India.
  • No forced labour or trafficking. Do not engage in or facilitate human trafficking, forced or bonded labour, debt bondage or deceptive recruitment, as defined in the anti-trafficking laws listed in section 6 and the UN Palermo Protocol.
  • No unlawful discrimination. Do not discriminate on grounds the applicable law prohibits. Nationality preferences are permitted only as far as lawful localisation programmes require them.
  • Minimum age. Do not recruit anyone under 18, or under any higher minimum age that applies to the occupation, category of worker or destination.
  • Consent and notice. As Controller of Candidate data, give Candidates the notices the law requires, obtain consent where needed (including for interview recording, health data and police clearances), and honour their rights requests.

Origin-country obligations (India)

  • Process emigration clearance through eMigrate for Candidates holding ECR (Emigration Check Required) passports. All six GCC states are ECR-notified countries.
  • Make sure every ECR Candidate has Pravasi Bharatiya Bima Yojana insurance before departure.
  • Keep the registers and records the Emigration Rules require, and advertise overseas jobs only with the particulars those Rules require, including your Registration Certificate number.

Destination-country obligations (GCC)

  • Obtain the work permits, entry visas and residence permits each Candidate needs before deployment. Never arrange travel on a visit visa for work.
  • Make sure medical fitness examinations take place at approved centres: GCC-approved centres through Wafid, or Qatar Visa Centres for Qatar.
  • Respect localisation programmes (such as Nitaqat, Emiratisation and Omanisation), minimum wage rules and wage protection systems in the Destination Country.
  • Follow the separate legal regimes that apply to domestic workers wherever you recruit them.
  • Do not sell, trade or buy visas or work permits.

BoonLynq provides software only. We are not a recruiting agent, employer or sponsor (kafeel), and we are not a party to any agreement between you, your clients and Candidates. Workflow features such as stage tracking, reminders and document checklists help with organisation. They do not guarantee compliance or amount to legal advice.

07Acceptable use

You must not, and must not let anyone else:

  • post fake, misleading or non-existent job vacancies, or misrepresent the employer, wage, location or conditions of a job;
  • upload unlawful, infringing, defamatory or malicious content, or personal data you have no right to process;
  • try to access another organisation’s data, or probe, scan or test the Service’s security without our written permission;
  • reverse engineer, decompile, copy or build a competing product from the Service, except where the law permits this;
  • send spam or unsolicited bulk messages through the Service’s email or WhatsApp features, or break Meta’s WhatsApp Business policies or the anti-spam rules of any country;
  • use the Service in breach of the cybercrime laws of India or any GCC state, or of applicable sanctions and export-control laws;
  • overload the Service, get around usage limits, or scrape it with automated means;
  • resell, sublicense or offer the Service to third parties unless we have authorised it.

08Customer data and privacy

You own your Customer Data. You grant BoonLynq a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Customer Data only as needed to provide, secure and support the Service. We process personal data in Customer Data as your Processor, under our Privacy Policy, which forms part of these Terms. On request, we will sign a Data Processing Agreement with you, including any transfer clauses required by the Saudi PDPL, the UAE PDPL or other applicable law.

You are responsible for the accuracy, quality and legality of Customer Data. That includes having a lawful basis to transfer it across borders and meeting any data-localisation requirement that applies to it. You must tell us before uploading data that has to stay in a particular country. We may use aggregated, de-identified data that does not identify you or any person to operate and improve the Service.

09AI features

The Service includes AI-assisted features such as résumé parsing, contact redaction and content drafting. AI output can be incomplete or wrong, so review it before relying on it. You remain responsible for every hiring decision, job advertisement and communication you send. You must not rely solely on automated output to make decisions that significantly affect a Candidate. We do not guarantee that parsed data or AI-generated content is accurate.

10Third-party and government systems

The Service works with third-party products, including Google Workspace (Calendar, Meet and Drive), Meta WhatsApp Business, BoldSign electronic signatures, payment gateways and email providers you connect. Your use of those products is governed by their own terms. We are not responsible for their availability, security or actions.

The Service is not affiliated with, endorsed by or connected to any government system, such as eMigrate, MoHRE, Musaned, Qiwa, Wafid, Qatar Visa Centres, PAM or LMRA. You deal with those systems directly and remain responsible for what you submit to them.

Documents signed electronically through the Service are intended to be valid under the Information Technology Act, 2000 and the electronic transactions laws of the GCC states. Some documents, however, such as contracts that must be registered with a ministry or attested by an embassy, may need wet-ink signatures or official portals. You are responsible for confirming this for each document.

11Intellectual property

BoonLynq and its licensors own all rights, title and interest in the Service, including its software, design, workflows, trademarks (including “Lynq” and “BoonLynq”) and documentation. Apart from the limited right to use the Service during your subscription, these Terms grant you no rights in it. If you give us feedback or suggestions, we may use them freely without any obligation to you.

12Confidentiality

Each party will protect the other’s non-public business, technical and financial information with at least reasonable care, and will use it only for the purposes of these Terms. This duty lasts for three years after termination, and for as long as the information remains a trade secret. It does not apply to information that is public, was already known to the recipient, was developed independently, or must be disclosed by law.

13Availability and support

We use commercially reasonable efforts to keep the Service available and secure, apart from planned maintenance and events outside our reasonable control. Support is available at support@boonindia.ai. We may improve, change or retire features. If a change materially reduces core functionality you have paid for, we will give you reasonable advance notice.

14Reporting misconduct

Anyone, including a Candidate, can report suspected unlawful recruitment practices by a Customer to grievance@boonindia.ai. Examples include illegal fees, document withholding, contract substitution and trafficking. We treat these reports confidentially and do not tolerate retaliation against people who make them in good faith.

We do not monitor Customer Data as a matter of routine. If we receive credible information about serious misconduct, however, we may investigate, ask the Customer for an explanation, preserve relevant records, suspend access as described in section 15, and report to the competent Indian or GCC authorities where the law requires or permits.

15Suspension and termination

  • By you. You may stop using the Service at any time and cancel so the subscription does not renew. Fees already paid are not refunded, as set out in section 4.
  • By us. We may suspend or terminate access immediately if you seriously breach these Terms (including section 5), lose a required recruitment licence, fail to pay after the grace period, break the law, or create a security risk. For other breaches, we will give you 15 days’ notice to fix the problem.
  • Your data. After termination, you have 30 days to export Customer Data, including any records you must keep under the Recruitment Laws. After that, we delete it as described in our Privacy Policy, unless the law requires us to keep it.
  • Survival. Sections on fees owed, confidentiality, intellectual property, disclaimers, liability, indemnity and governing law continue after termination.

16Warranties and disclaimers

Each party confirms that it has the authority to enter into these Terms. You also confirm that you hold, and will keep, every licence the Recruitment Laws require for your activities. Apart from that, and to the fullest extent the law allows, the Service is provided “as is” and “as available”. We give no other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee any hiring, emigration clearance, visa, medical or deployment outcome.

17Limitation of liability

To the fullest extent the law allows:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, even if it was told such damage was possible;
  • BoonLynq’s total liability arising out of or relating to these Terms will not exceed the fees you paid us in the 12 months before the event giving rise to the claim.

These limits do not apply to your payment obligations, a breach of sections 5 or 7, your indemnity duties, fraud, or any liability the law does not allow to be limited.

18Indemnity

You will defend, indemnify and hold harmless BoonLynq, its affiliates and personnel against third-party claims, fines, penalties and reasonable costs (including legal fees) arising from:

  • Customer Data;
  • your recruitment or deployment activities, including claims by Candidates, employers or clients;
  • fines, penalties or sanctions imposed by any emigration, labour, immigration or data protection authority in India or a GCC state because of your acts or omissions;
  • your breach of these Terms or of any law.

19Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. The parties will first try to resolve any dispute in good faith within 30 days of written notice.

If that fails, the dispute will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration will be Hyderabad, Telangana, and the proceedings will be in English. India and all six GCC states are parties to the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, so an award can be enforced in any of them. Subject to this, the courts at Hyderabad have exclusive jurisdiction. Either party may seek urgent interim relief from those courts or from any court with jurisdiction over the other party’s assets.

The choice of Indian law does not exclude any mandatory labour, immigration, emigration or data protection law of an Origin or Destination Country that applies to your activities or protects Candidates.

20General

  • Entire agreement. These Terms, the Privacy Policy and any order form are the whole agreement between the parties about the Service.
  • Changes. We may update these Terms. For material changes, we will give at least 15 days’ notice. If you keep using the Service after that, you accept the updated Terms.
  • Language. These Terms are written in English. If we provide an Arabic or other translation, the English version prevails wherever the law allows.
  • Assignment. You may not assign these Terms without our consent. We may assign them in a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control. Such events include government action, travel or visa suspensions, and public health emergencies. This does not apply to payment obligations.
  • Severability and waiver. If any provision is found unenforceable, the rest remain in effect. Not enforcing a right does not waive it.
  • Notices. We send notices to your registered admin email. Send yours to legal@boonindia.ai.
  • Independent parties. Nothing in these Terms creates a partnership, agency, sponsorship or employment relationship.
